May's Topic: the Perils of Sweat EquityWe've all heard of it, sweat equity- that deal where your unpaid labor is exchanged for equity that will somehow pay off one day when the company gets going. But have you heard of what a legal crisis this can create? This month, UF Innovate Accelerator Advisory Committee members Guy LaTorre and Stephanie Marchman spill the beans on sweat equity, what it means for founders, and offer advice on how you can avoid common mistakes. Speaker BiosGuy LaTorre Guy has over 25 years of experience in the development and commercialization of medical devices and consumer products in a start up company environment. Guy was a co-founder and Vice President of Business Development at Novamin Technology Inc. where he was responsible for identifying and managing the Company’s relationships with its key clients in the dental products field, including product development of in-office and at home-use products using the company’s proprietary ingredient. In that role, he formed and managed product development partnerships between NTI and the leading marketers of professional dental products, including Dentsply Corp, 3M Corp, Sultan Healthcare, Sunstar and others until the company was sold to GSK in 2010. Prior to this, Guy was the Director of Scientific Affairs at USBiomaterials Corp. which developed and sold synthetic bone grafting products for use in dental, head & neck and orthopedic surgeries. Guy’s responsibilities also included product development, manufacturing and business development activities. Previous to USBiomaterials Guy was the Laboratory Manager of the University of Florida Advanced Materials Research Center where he was responsible for tech transfer of University tech to private start up companies licensing the technologies. Guy has been author or co-author on over fifty scientific publications and holds seven US patents with associated filings world wide. Stephanie Marchman Stephanie is a shareholder in GrayRobinson’s Gainesville and Tampa offices representing businesses, governmental entities and nonprofit organizations in the areas of labor, employment, civil rights, business disputes, Sunshine Law, board governance, and general counsel.
