Start with 'Do you want to have a conversation about PE firms interested in the (Owners Industry) or your business?' * Never give the name of the PE firm in response to the above question. Simply respond ‘to protect your interest and the privacy of the PE firm let’s put in place a standard NDA’. I really do mean simply...say it in a soft voice because an NDA is a contract and people are leery of signing contracts. Say it nice & soft. * What’s my business worth? Simply respond ‘it wouldn’t be fair to you to answer that question without an in-depth understanding of your finances’ Then refer back to the bullet point above. Also they may ask 'what's the multiplier'....the answer is the above with the additional wording...'you may be above or below the multiplier depending on your finances and internal processes.' * How to avoid PE firms going around you? You can’t but next time you know which firm not to contact with any opportunities. BTW, those 5 bullet points took me 1 year to develop and successfully implement and you just got them for free.
