We are an international law firm in the business of asset protection, and we have served HNW clients (both families and businesses) for over 14 years. Due to Covid and the associated travel restrictions worldwide, we are looking to recruit Company Incorporators and Nominees in the United States in order to assist our foreign clients who would like to conduct business in the US more easily, without visiting in person. Essentially, you will serve as the legal manager and administrator of US-registered companies, but will not have any actual management or decision-making responsibilities beyond compliance and regulatory filings. Corporate Nominees are entirely legal and are commonly used both in the US and in other countries. There are certain requirements in order to become a Nominee. While your name will appear on company filings as the responsible person, you CANNOT be held legally liable for losses/debts of the company, or for any violations committed by the company, unless you were personally responsible for these violations. The long-established principle of limited liability guarantees this. Our engagement process is divided into two parts: INITIAL SET UP (12-15 hours required, over a period of 2 weeks) - File for incorporation with the Secretary of State in Delaware or Wyoming - Apply for EIN with the IRS - Set up business phone number - Set up bank accounts - Set up mail forwarding address with USPS (notarization required) - Employment-related filings through a third-party service, with the EDD - Payment of Franchise Tax For this, you will be paid a flat rate of $2000 which will cover the first 12 months. You will be paid $2000 for every year that this engagement is renewed. ONGOING MAINTENANCE AND TROUBLESHOOTING - From time to time, you may be required to assist our client with troubleshooting. For instance you may be needed to clarify certain rules or requirements with a government agency, or you may need to speak with the bank to apply for a letter of credit, or you may need to file papers with the EDD each time an employee is terminated. - Most of our clients have their own staff for such work. However, there could be times where the local, US-based representative is needed. This is likely to be 2-10 hours per month, depending on the client. - For all of this additional work, you will be paid $55/hour. **** REQUIREMENTS In order to be considered for this position, you must meet ALL of these requirements: 1. You must be a US citizen or Permanent Resident with a SSN and valid ID, with a residential address in the Continental United States (we cannot accept applicants from Alaska, Hawaii, or Puerto Rico). 2. You must be at least 21 years of age. 3. You must have a clean criminal record. No prior convictions (even misdemeanors). Background checks will be conducted. 4. You must not currently be in bankruptcy, nor be involved in any legal action that may result in your bankruptcy. 5. Though not required, if you have some experience with paralegal work and/or corporate secretarial work, or if you have incorporated LLCs before, it would be an advantage. 6. You should be able to provide 2 employment references if required. We accept applicants from all states in the Continental US but we would *prefer* candidates based in Las Vegas, NV or the surrounding area. Our policy is that each individual may serve as a nominee for up to 12 companies. This means that you could be earning $24,000 a year in semi-passive income.
